Terms of Use

These Terms of Use, together with the End-User License Agreement in Section 16, form the agreement between you and ISKHAK LLC, d/b/a SalemWise Solutions, a New Jersey (USA) limited liability company ("TensorSwing", "we", "us") for the TensorSwing app and any subscription you buy. By downloading the app, creating an account, or subscribing, you agree to them. If you do not agree, do not use the app.

TensorSwing is informational research, not investment advice. It places no trades and connects to no brokerage. You alone are responsible for what you do with it.

01 What TensorSwing is

TensorSwing publishes informational research commentary. Statistical models call the five-day direction and size of stocks and ETFs from a fixed, publicly-defined universe. Every call is cryptographically committed before Monday's market open and publicly timestamped. Its outcome is labeled on Friday, and a sample is spot-checked weekly by a public randomness beacon we cannot influence — opened each Saturday. The full record — including each week's encrypted archive, which opens automatically 24 months after it is sealed — is kept in a public repository. All calls are produced by models operating without human review of individual predictions.

The app does not place trades, connect to a brokerage, hold or manage funds, or tailor anything to your holdings or circumstances.

02 Not investment advice; your responsibility

TensorSwing is not investment, financial, legal, or tax advice, and it is not personalised to you. We are not a broker-dealer and not a registered investment adviser, and we do not execute, route, or facilitate any transaction. Nothing in the app is an offer, solicitation, or recommendation to buy, sell, or hold any security.

Model calls may be wrong. Results shown are historical fact and are not a projection of future results; past and hypothetical performance does not indicate future results. Trading involves risk of loss, including total loss of capital, and short exposure carries theoretically unlimited loss. Every decision you make is your own, and you are solely responsible for it. Consider seeking advice from a licensed professional before acting on any information.

03 Eligibility and your account

You must be at least 17 years old and able to form a binding contract to use the app. Some features require an account; you agree to provide accurate information, to keep your credentials secure, and that you are responsible for all activity under your account. Tell us promptly at [email protected] if you believe your account has been compromised.

04 Subscriptions, billing, and cancellation

TensorSwing offers a free tier and an auto-renewing Premium subscription at $39 per month. Additional subscription tiers may be offered from time to time; the tiers, features, and price available to you are always shown in the app before you purchase, and buying a subscription is never required to read the public record.

Subscriptions are sold and billed through the Apple App Store and charged to your Apple ID account at confirmation of purchase. Key terms:

• Auto-renewal. Your subscription renews automatically for the same period at the then-current price unless you cancel at least 24 hours before the end of the current period. Your Apple ID is charged for renewal within 24 hours before each period ends.
• Managing and cancelling. You can manage or cancel your subscription any time in your Apple ID settings on your device. Deleting the app does not cancel a subscription.
• No free trial. There is no introductory free trial; the free tier is available indefinitely at no cost.
• Price changes. Prices may change; any change applies only to future renewals and is disclosed to you before it takes effect, as required by Apple.
• Refunds. Payments, renewals, and refunds are handled by Apple under Apple's terms. Except where required by law, payments are non-refundable, and refund requests are subject to Apple's policies.

05 Notifications and alerts

The app can send push notifications for the weekly publish and resolution; service notices such as a shortened week, a data gap, or a no-signal week; and, if you turn them on or leave them on, alerts on names you watch, models you follow, price moves, and 52-week levels. Notifications are delivered through the Apple Push Notification service.

Alerts are information, not advice. A price alert tells you a price crossed a threshold you set; it is not a recommendation to act on it.

Delivery is best-effort. A notification may be delayed, coalesced, or dropped by Apple or your device's operating system, and it depends on market data that may itself be delayed or wrong. Never rely on a notification arriving.

• Controls. Each notification category has its own switch in the app's Settings. You can turn off all push notifications at any time in iOS Settings.
• Email. Account holders get a weekly digest by default, which can be turned off (see our Privacy Policy). Marketing email is opt-in only. Account emails — verification, password reset — are transactional and not optional.

06 The public record, the weekly archive, and the Subscriber License

The public record — every call, cryptographically committed before Monday's market open and publicly timestamped, spot-checked weekly by a public randomness beacon we cannot influence — is hosted at github.com/YermekIbrayev/tensorswing-record.

Record data files in that repository are licensed under CC BY 4.0, and its verification scripts are licensed under MIT, as stated in the repository's LICENSE and LICENSE-DATA.md files; those licenses govern use of those files.

Subscribers on tiers that include archive access — the tiers that include it are shown in the app — may download each week's sealed archive. Each archive is governed by the Subscriber License (Weekly Archive), published as SUBSCRIBER-LICENSE.md and shipped inside every archive, and that license is incorporated into these terms by reference; where it conflicts with these terms as to an archive's contents, the Subscriber License governs.

In short: the Subscriber License does not let you redistribute an archive's pre-grading, per-(model, ticker) values, but it does let you publish aggregates and analyses derived from the archive, and it gives you an irrevocable right to disclose an individual leaf, with its salt and Merkle proof, to demonstrate a discrepancy between sealed and published data. The license text governs.

07 License to use the app

Subject to these terms, TensorSwing grants you a personal, limited, non-exclusive, non-transferable, revocable license to download and use the app for your own non-commercial purposes on Apple-branded devices you own or control, as permitted by the App Store Usage Rules in the Apple Media Services Terms and Conditions.

08 Acceptable use

You agree not to: resell, redistribute, sublicense, or publicly retransmit the calls or other content; scrape, harvest, or bulk-extract content; copy, modify, reverse-engineer, decompile, or create derivative works of the app except as the law expressly permits; interfere with or disrupt the service or its security; or use the app in any unlawful manner or in violation of these terms. The public verification record is provided so anyone can verify the timestamps without trusting us, and so any subscriber can check the record in full — that is deliberate and permitted, and it is not a license to repackage or resell the product.

09 Intellectual property

The app, its software, content, trademarks, and design are owned by TensorSwing or its licensors and protected by intellectual-property laws. Except for the license in Section 7, no rights are granted to you. Publicly-released record files are licensed as described in Section 6.

10 Availability and changes to the service

The app is provided on an "as available" basis. We may add, change, suspend, or discontinue features, tiers, or the service itself. We aim to keep every published cycle in the record, but we do not guarantee uninterrupted or error-free availability.

11 Disclaimer of warranties

To the maximum extent permitted by law, the app and all content are provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the app will be uninterrupted, secure, or error-free, or that any call or figure is accurate or reliable.

12 Limitation of liability

To the maximum extent permitted by law, TensorSwing and its operators, officers, and suppliers will not be liable for any trading or investment losses, or for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits or data, arising out of or relating to your use of (or inability to use) the app, even if advised of the possibility. To the extent liability cannot be excluded, our total aggregate liability is limited to the greater of the amount you paid us in the twelve months before the claim or USD $50. Nothing in these terms limits any liability that cannot be limited under applicable law, including certain consumer rights.

13 Indemnification

You agree to indemnify and hold TensorSwing harmless from claims, losses, and expenses (including reasonable legal fees) arising from your misuse of the app, your violation of these terms, or your violation of any law or third-party right.

14 Governing law and disputes

These terms are governed by the laws of the State of New Jersey, USA, without regard to conflict-of-laws rules, and any dispute will be resolved in the competent state or federal courts located in New Jersey — except that this does not deprive you of the protection of mandatory consumer-protection laws of your country of residence. If any provision is held unenforceable, the rest remains in effect.

15 Changes to these terms

We may update these terms. When we do, we will change the date above and, for material changes, provide notice in the app. Continuing to use the app after a change takes effect means you accept the updated terms.

16 App Store and End-User License Agreement

This Section 16 is the End-User License Agreement (EULA) for the app and applies in addition to the terms above. It reflects the minimum terms Apple requires.

• a. Acknowledgement. This agreement is concluded between you and ISKHAK LLC, d/b/a SalemWise Solutions ("TensorSwing") only, and not with Apple. ISKHAK LLC, not Apple, is solely responsible for the app and its content. This agreement may not conflict with the Apple Media Services Terms and Conditions in effect as of the date you accept it.
• b. Scope of license. The license granted to you is a non-transferable license to use the app on any Apple-branded products that you own or control, and as permitted by the Usage Rules in the Apple Media Services Terms and Conditions, except that it may be accessed and used by other accounts associated with you via Family Sharing or volume purchasing.
• c. Maintenance and support. TensorSwing is solely responsible for providing any maintenance and support for the app. Apple has no obligation whatsoever to furnish any maintenance and support services.
• d. Warranty. TensorSwing is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. If the app fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price of the app to you (if any); to the maximum extent permitted by law, Apple will have no other warranty obligation with respect to the app.
• e. Product claims. TensorSwing, not Apple, is responsible for addressing any claims by you or a third party relating to the app or your possession or use of it, including product-liability claims, any claim that the app fails to conform to a legal or regulatory requirement, and claims arising under consumer-protection, privacy, or similar legislation.
• f. Intellectual property. In the event of any third-party claim that the app or your use of it infringes intellectual-property rights, TensorSwing, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of that claim.
• g. Legal compliance. You represent and warrant that you are not located in a country subject to a U.S. Government embargo or designated as "terrorist supporting", and that you are not listed on any U.S. Government list of prohibited or restricted parties.
• h. Contact. Questions, complaints, or claims about the app should be directed to TensorSwing at [email protected].
• i. Third-party terms. You must comply with applicable third-party terms of agreement when using the app (for example, your wireless data plan).
• j. Third-party beneficiary. Apple and Apple's subsidiaries are third-party beneficiaries of this EULA, and upon your acceptance Apple will have the right (and will be deemed to have accepted the right) to enforce this EULA against you as a third-party beneficiary.
